A poison pill is in line with their fiduciary duty. This is well entrenched in corporate law.
Why is it always some variant of "just wait" on this .win? I swear, I spent a good dozen "just two more weeks" waiting for the mountain of election evidence to appear and reinstate Trump in office.
It already has been a few months, lol. Russia started their invasion on February 24, 2022.
By a Russian diplomat, amidst Russia's unlawful invasion and destabilization of Ukraine.
Quite the telling narrative you got there Corp.
It is impossible for Ukraine to defeat Russia in direct war.
Idk seems to be going relatively well for Ukraine so far.
I mean, most non-Russian estimates tag somewhere between 10,000 and 20,000 Russian troops as KIA, their flagship just got noob-tubed by Ukraine to the bottom of the Black Sea, they’ve completely lost their north- and mid-group assaults, more than half a dozen of their generals have been killed, they’ve been economically isolated from western trade, and Ukraine is now striking assets within Russia.
All that, and they still haven't even managed to take Mariupol since they surrounded it over a month ago, even after allegedly wiping it "off the face of the Earth" lol.
So yeah, I would say they are getting pretty badly humiliated, lmfao.
Poison pills are not insane. It’s just the board response to assuring shareholders attain a tender offer that reflects not simply the company performance, but the value of having control over the company — which is referred to as the “control premium.”
So, no. It’s not “free money.” If you’re seeking to acquire a corporation, the board of directors has a duty to ensure you pay the appropriate price for not simply the stock but also the control premium. It’s completely in line with their fiduciary duty, and well recognized in corporate law.
Musk acquiring that shit show would be a golden day for free speech.
Honestly, fairly nice from what I hear. Haven’t been though. High amount of crime too.
Nah, maga always gave me more South African vibes.
Aside from mine, I have not seen anyone else with any sort of month-long "Russia bad" streak. I welcome any tags you have though, I may have missed them since I kind of just lurk on here and only become active once every few months. Bans occur fairly frequently on here, especially in light of how low the userbase is.
I agree that this .win is skeptical of legacy media. Frankly, I agree with that view. To that end, I totally agree that MSM is largely pro-Ukraine and exhibits a bias.
That all said, a bias alone does not mean they're wrong. There are definitely some arguments against foreign over-involvement in the Russo-Ukrainian conflict. The issue is, they aren't made here. The only arguments I see getting made are flat out "Russia is innocent and was totally justified in doing this, I blame the U.S." Likewise, even if you cite sources for people on here, you will just be met with another round of getting called a shill, Jew, racial slur, or really anything that doesn't address the point you raise.
There are good arguments to be made, and good discussion to have. Unfortunately, this site is administered in a way that is certain to make that never happen.
Here comes Corp’s daily “Russia is innocent you guys are all big meanies” post spam.
Idk man, might have something to do with unlawfully invading sovereign nations and murdering civilians.
Just a shot in the dark though.
Not really. Axo usually just bans anyone that disagrees with the narrative he is trying to push. Hence, you don’t really see many active users around here that cut against the prevailing grain. Most of it either tends to be lurkers or new accounts that are probably just alts of banned lurkers.
Agreed.
That said, most other European countries do not have known troll/bot networks that are dedicated exclusively to shilling online forums. Not to mention, it would be a little weird for Western Europeans, who have historically one of the highest disapproval rates for Russia globally and fairly widespread support for Ukraine, to be making pro-Russia / anti-Ukraine comments.
Say what you will, but I think pro-Russia / anti-Ukraine content appearing predominately during Russian prime hours is a bit more than a coincidence, lol.
I was just pointing out that they’re out here shilling their narrative.
I don’t really think it’s an issue. This .win is dead and has long lost any ability to recover anyways. I’m more or less just yelling into the void.
I haven’t seen him around for a few months.
That’s my goal ;)
Oh hi Graph, nice to see you’re still floating around here too. We should really make a list of the OGs so we can identify each other once the Russian shills fully flood this place.
This guy writes like a fifth grader, lol.
Yes, lol.
I may have been less sure before Russia’s invasion of Ukraine, but watching them lose miserably to a country not even a quarter their size really solidified it.
Yet you still come back here all day every day to hate read and complain, what does that say about you?
For the 2000th time:
You do not have a right to free speech on a private platform.
I never said Russia wasn't big or bad; I just said they are inept. The playground bully might be big enough to throw a powerful punch, but that doesn't mean he isn't retarded enough to do more damage to himself in the process.
That said, normal countries in the modern era don't go around randomly invading other countries just for the sake out taking them out. Russia obviously seems to be the exception.
Fiduciary duties are not made obsolete just because a potential acquirer has a large ownership percentage, or that the board does not. Frankly, it is actually pretty uncommon for directors themselves to have large equity holdings. Typically, the directors are appointed by shareholders that have large equity holdings, knowing that the respective shareholder can vote them out if the director starts acting against their interest.
